GENERAL TERMS AND CONDITIONS OF SALE

BRYAN SEGURIDAD Y HERRAMIENTAS S.A. DE C.V.

1. SCOPE OF APPLICATION

These terms and conditions govern the commercial relationship between Bryan Seguridad y Herramientas S.A. de C.V. ("The Supplier") and the Customer. They are generally applicable to e-commerce transactions (B2C), telephone sales, and corporate sales (B2B). By placing any order, the Customer accepts to be bound by these stipulations, which prevail over any general purchasing conditions of the Customer, unless a specific contract signed by both parties stipulates otherwise.

2. PRICES, QUOTATIONS AND VALIDITY

  • 2.1 Validity of the Offer: Formal written quotations have a strict validity of 15 calendar days, unless otherwise expressly indicated. After this period, prices are invalidated and subject to requotation. In the Web channel, prices are dynamic and are only guaranteed at the moment of processing the immediate payment.
  • 2.2 Currency: Prices agreed in Mexican Pesos (MXN) are firm within the validity period. For operations quoted in US Dollars (USD) payable in Pesos, the Sell Exchange Rate of the effective payment day (Official Gazette or Bank designated by the Supplier) shall be used.
  • 2.3 Errors: We reserve the right to correct evident typographical errors in prices or descriptions prior to dispatch. If the actual price is higher, the Customer will have the option to confirm the order at the correct price or cancel without penalty.

3. PAYMENT CONDITIONS AND BILLING

  • 3.1 Cleared Funds Rule: For payments via wire transfer (SPEI) or check, merchandise will be released ONLY until the funds are reflected as "cleared" (available) in our fiscal bank account. Screenshots or payment receipts are not accepted as a guarantee of release.
  • 3.2 Prohibition of Set-off: The Customer is not entitled to offset, withhold, or deduct amounts from current invoices under the argument of pending claims, warranties in process, or disputes unrelated to the invoice being collected.
  • 3.3 Invoicing: It is the sole responsibility of the Customer to request their invoice and provide valid fiscal data within the current month of the purchase. No retroactive invoices will be issued.

4. CREDIT, DELINQUENCY AND COLLECTION

Commercial credit is not a right, but a financial facility subject to contract.

  • 4.1 Acceleration Clause: Failure to pay any invoice on time entitles Bryan Safety to declare the early maturity of all other pending invoices of the same Customer, making them immediately due and payable.
  • 4.2 Default Interest: The unpaid balance will accrue a monthly default interest of 1.5% (one point five percent) plus VAT, calculated for each calendar day elapsed from the due date until full liquidation.
  • 4.3 Collection Expenses: In case legal collection management (judicial or extrajudicial) is required, the Customer must cover, in addition to the debt and interest, a contractual penalty of 20% of the total amount for administrative expenses and legal fees.

5. RETENTION OF TITLE (OWNERSHIP)

5.1 Retention of Title Pact: The goods supplied shall remain the legal and fiscal property of Bryan Seguridad y Herramientas S.A. de C.V. until the purchase price has been paid in full.

5.2 Recovery: In the event of payment default, bankruptcy, or insolvency of the Customer, the Supplier shall have the irrevocable right to recover and remove the merchandise subject to this retention that is in the Customer's possession.

6. MODIFICATIONS AND CANCELLATIONS

  • Special Orders: In case of cancellation of "Non-Stock" product orders (special manufacturing or import), the Supplier will retain the advance payment or charge a contractual penalty of 20% to 50% of the order value to cover operational costs.
  • Abandonment: Merchandise sent for warranty or repair that is not claimed or withdrawn within 30 days after resolution will be destroyed without liability for the Supplier.

7. LIMITATION OF LIABILITY

Bryan Safety's liability is strictly limited to the replacement of the defective product or the refund of the amount paid.

  • Exclusion of Consequential Damages: Under no circumstances shall Bryan Safety be liable for indirect damages, lost profits, loss of productivity, production line stoppages, labor costs, or loss of contracts that the Customer may suffer.
  • Industrial Safety: The Supplier is exonerated from liability for accidents or injuries caused by incorrect selection of PPE for the specific risk, user negligence, or lack of training.

For any controversy, the parties expressly submit to the competent courts of the city of Villahermosa, Tabasco, waiving any other jurisdiction present or future.
